Acquisition Finance for restructuring and growth

Providing capital for buyouts, takeovers and mergers.
Business Finance Team

Raise the capital needed for scaling your business

Growth through acquisition is an attractive route to becoming a dominant player in your market. Or your ambitions may be more modest - you may have the opportunity to take over an industry competitor or to take on a business in a sector complementary to your own.

Acquisition finance is also appropriate for management buyouts or other significant transactions around restructuring of company ownership. We help business owners with sourcing and arranging the most appropriate debt finance for their specific circumstances.

Our transaction management specialists understand the forms of funding currently available, from loans and asset finance, through to mezzanine finance and other forms of equity capital. They help identify industry or sector specific options appropriate in the UK market.

Your Guide to Acquisition Finance

When you approach either bank or non-bank lenders with your purchase project, they will need extensive information about your plans before parting with any money. The factors they will look at include:

The form of acquisition. Are you taking over a competitor or a business further up or down your supply chain? Or is it a management buyout, and if so, what investment will the management team be making personally?

Knowledge and experience. Will the right level of knowledge and experience in both the business and the industry sector be retained? Does the leadership team have the appropriate experience of takeover or merger situations?

Cost and revenue synergies. Is it clear how the costs of the new business can be controlled and the revenues enhanced, taking advantage of the increase in scale? How much more competitive will you become?

Relative size of the businesses. Are you taking over a company that’s considerably smaller than your own, or is this a merger of two similarly sized operations?

The level of management expertise. If the acquisition is taking you into a new market, do you have the knowledge necessary to succeed there? To what extent will previous management be retained and will there be an element of management buy-in, injecting external expertise into the running of the business?

Transaction Structure. What are the stages in the commercial process of the acquisition? This includes the legal documentation process, due diligence and risk management actions.

Our specialist consultants will help you, as our client, to assess all of these considerations, and more, as they assist in structuring a corporate finance solution for your needs. They will take your requirements into account as they determine what loan product is most appropriate, and decide who to approach from our panel of over 250 lenders.
